Green Earth Carbon Solutions LLC ("Green Earth") is primarily focused on the development and production of ultra-low-carbon fuels for the aviation and maritime industries. Using Direct Air Capture (DAC) systems to extract atmospheric CO₂ and hydrogen produced via Solid Electrolyte Organic Conversion (SEOC) and other advanced technologies, Green Earth synthesizes Sustainable Aviation Fuel (SAF) and Sustainable Marine Fuel (SMF) to help decarbonize hard-to-abate sectors.
Our fuels are developed in alignment with global regulatory and certification frameworks, including:
- ICAO’s CORSIA sustainable fuel criteria
- The U.S. SAF Grand Challenge Roadmap
- EU Renewable Energy Directive (RED III)
- California LCFS and EPA RFS (where applicable)

Introduction
Green Earth Carbon Solutions LLC ("Green Earth") serves as a representative for sellers of carbon credits, facilitating transactions between buyers and sellers. Our services include overseeing the exchange process, ensuring escrow arrangements, and coordinating the verification and transfer of carbon credits via established registries. In this capacity, Green Earth assists in facilitating the completion of transactions but does not act as a broker or financial intermediary.
Scope of Services
Green Earth provides a range of services to facilitate carbon credit transactions:
- Project Introduction and Verification – We introduce buyers to carbon credit projects and facilitate access to relevant documentation for due diligence.
- Escrow Coordination – We coordinate escrow processes to secure funds until transaction conditions are fulfilled.
- Credit Transfer Facilitation – We manage the credit transfer process through verified registries (e.g., VERRA) once payment and verification criteria are met.
- Issue Resolution – We assist in resolving potential issues, such as non-compliance or shortfalls in credit delivery, in coordination with sellers and buyers.
Regulatory Compliance
Green Earth operates in compliance with applicable laws and standards in the jurisdictions where transactions occur. As a facilitator, Green Earth does not independently verify the emissions reductions or environmental impact of the credits but ensures that transactions align with standards set by recognized frameworks (e.g., VERRA, ICROA, and TSVCM). Buyers and sellers are encouraged to consult their legal advisors regarding the specific compliance and regulatory requirements related to carbon credit transactions.
Due Diligence and Transparency
Green Earth provides buyers with essential project information, including credit serial numbers, project descriptions, and relevant documentation, to support their due diligence efforts. Buyers are responsible for conducting their own independent verification of the credits and ensuring that they meet their specific compliance requirements.
Escrow Management and Payment Security
Green Earth coordinates the establishment of escrow accounts with third-party escrow agents to secure buyer funds until agreed transaction conditions are fulfilled. This process includes:
- Credit Serial Number Review – Buyers have a specified period to review serial numbers and validate the credits prior to finalizing the purchase.
- Escrow Release Conditions – Funds are only released from escrow upon the successful transfer of credits via the designated registry and confirmation from the buyer.
- Refunds and Remedies – In cases where credits cannot be delivered as agreed, the escrow arrangement allows for refunds or replacement credits to be issued.
Limitations of Liability
Green Earth does not guarantee the performance, environmental impact, or market value of the carbon credits. Our role is limited to facilitating the transaction and coordinating escrow and transfer logistics. All liabilities related to the efficacy and compliance of the credits rest with the buyer and seller. Green Earth disclaims any responsibility for losses related to changes in market conditions, regulatory shifts, or the performance of the credits after transfer.
Confidentiality and Data Protection
Green Earth respects the confidentiality of all parties involved in the transaction process. We adhere to data protection laws and ensure that sensitive information is handled responsibly and only disclosed to authorized parties.
Governing Law and Dispute Resolution
Transactions facilitated by Green Earth are governed by the laws of Texas, USA. Any disputes arising from these transactions will be resolved through arbitration under the rules of the International Chamber of Commerce (ICC), with final awards enforceable under the New York Convention.
Amendments
